Terms of service

Last updated November 2, 2026

These terms are a draft for early access. We will review them again before paid plans open.

In short, Workup Desk helps you organize a patient's records and draft documents from them. It is not a medical device, it does not diagnose, and you stay responsible for every clinical decision and every document you sign. The rest of this page says the same thing carefully.

Who this agreement is between

These terms govern your use of Workup Desk, provided by Kaine Ventures LLC, a Texas limited liability company. Workup Desk is a product name of Kaine Ventures LLC. If you accept these terms for a practice, clinic or hospital, you confirm that you may bind it.

Early access

Workup Desk is open by invitation while early access runs. Features appear, change and sometimes disappear. There is no uptime commitment and no support response time. We may change the scope of early access or end it.

What the product is and is not

Workup Desk is documentation help and decision support. It lets you collect a patient's sources in one workspace, ask questions of them and draft documents such as a clinical assessment, a referral letter or a handover summary.

Workup Desk is not a medical device. It does not diagnose, triage, prescribe or recommend treatment for any individual patient, and it is not a system of record. Nothing it produces replaces your own examination, your clinical judgment or the guidance that applies where you practice.

You remain responsible for clinical decisions

Drafts and answers come from AI models working on the sources you provide. They can be wrong, incomplete or out of date, and they can misread a source. Check every statement against its source before you rely on it, and edit every draft before it goes into a record or to a colleague or patient.

You make every clinical decision. You are responsible for the documents you sign, send or file, and for meeting your professional and legal obligations in doing so.

Emergencies

Do not rely on Workup Desk as your only source of information in an emergency or where a delay could harm a patient. Keep access to the original records and your usual systems. The service can be slow or unavailable, and it does not monitor patients or raise alerts.

Your account and your organization

Keep your sign-in under your own control and tell us promptly if you think someone else has used it. Owners and admins decide who belongs to the organization and with which role. Anyone you share a patient workspace or document with can see it as a viewer or change it as an editor, so share deliberately.

Patient data and your data

You own everything you or your colleagues put into Workup Desk. You give us permission to host, copy, process and display it only to provide, secure and support the service for you. We do not sell it, use it for advertising or use it to train AI models.

Your organization is the controller of the patient data it adds. Add identifiable patient data only once a data processing agreement for your jurisdiction is in place with us. You are responsible for having a lawful basis to use each record you upload, and for following your organization's rules on confidentiality. See the privacy policy for the website and waitlist.

Fees and billing

The individual plan is billed in advance through Stripe, monthly or yearly. Fees do not include taxes, which you pay where they apply. We will tell you the price before anything is charged, and we will email you before any price change takes effect. Organization plans follow the terms agreed with your organization.

You can cancel at any time from your billing settings. Cancellation takes effect at the end of the paid period, and you keep access until then.

Acceptable use

Do not try to reach another organization's data, probe or disrupt the service, scrape it in bulk, resell access, upload data you have no right to hold or use the service for anything unlawful.

Availability and disclaimer

We provide the service with reasonable skill and care. Apart from that, we provide it as it is, without other warranties, to the extent the law allows. We do not promise that it will be uninterrupted or error free, or that any draft or answer is complete or correct.

Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, and we are not liable for a clinical decision made with the help of the product. Our total liability under these terms is limited to the fees you paid in the 12 months before the claim. Nothing here limits liability that cannot lawfully be limited.

Suspension and ending the agreement

You can stop using the product at any time and ask for your data to be exported and deleted. We may suspend or end access if these terms are broken or if we discontinue the service. If we discontinue it, we will give reasonable notice and time to export.

Changes to these terms

When these terms change materially, the date at the top changes and we tell account owners by email before the change takes effect.

Governing law

The laws of the State of Texas govern these terms, and the state and federal courts in Travis County, Texas hear any dispute.
